Item 1.01. Entry into a Material Definitive Agreement.

On April 30, 2020, Construction Partners, Inc. (the “Company”) and each of its wholly owned subsidiaries entered into a Loan Modification Agreement and Amendment to Loan Documents (the “Amendment”), with BBVA USA (formerly known as Compass Bank), as agent for the lenders, and as a lender and issuing bank, and Bank of America, N.A., as a lender, that further amends the Credit Agreement, dated June 30, 2017, which has previously been amended by (i) the Amendment to Credit Agreement, dated June 30, 2017, (ii) the Loan Modification Agreement and Amendment to Loan Documents, dated November 14, 2017, (iii) the Loan Modification Agreement and Amendment to Loan Documents, dated December 31, 2017, (iv) the Loan Modification Agreement and Amendment to Loan Documents, dated May 15, 2018, (v) the Loan Modification Agreement and Amendment to Loan Documents, dated August 30, 2019, (vi) the Loan Modification Agreement and Amendment to Loan Documents, dated October 1, 2019, (vii) the Loan Modification Agreement and Amendment to Loan Documents dated October 18, 2019, but effective October 1, 2019, and (viii) the Loan Modification Agreement and Amendment to Loan Documents dated December 31, 2019 (as amended, the “Credit Agreement”).

Among other things, the Amendment (i) provides for a term loan advance to the Company in the amount of $18,000,000, (ii) establishes a minimum interest rate for the foregoing term loan advance and future term loan advances, (iii) adjusts the term loan recourse amounts applicable to the Company and its subsidiaries, (iv) increases the amount of the quarterly principal installment payments under outstanding term loan advances to $2,500,000, and (v) sets forth procedures by which the parties will select a replacement benchmark interest rate in the event that the London Interbank Offered Rate (LIBOR), the current benchmark interest rate under the Credit Agreement, is no longer available or appropriate as a reference rate upon which to determine the interest rate after December 31, 2021, the date on which contributing banks will no longer be required to submit rate information from which LIBOR is calculated. The foregoing description of the Credit Agreement and the Amendment is qualified in its entirety by reference to the full text of such documents, copies of which are attached hereto as exhibits and incorporated herein by reference.
