Construction Partners, Inc. Announces Pricing of Upsized Secondary Offering of Class A Common Stock

DOTHAN, AL – June 11, 2020 – Construction Partners, Inc. (NASDAQ:ROAD) (“CPI” or the “Company”) today announced the pricing of an upsized underwritten secondary offering of 5,750,000 shares of its Class A common stock by certain affiliates of SunTx Capital Management Corp. (the “selling stockholders”) at a public offering price of $16.50 per share. The underwriters will have a 30-day option to purchase up to an additional 862,500 shares of Class A common stock from the selling stockholders.

The selling stockholders will receive all of the net proceeds from the offering. The Company is not selling any shares of Class A common stock in the offering and will not receive any proceeds from such offering.

The offering is expected to close on June 15, 2020, subject to the satisfaction of customary closing conditions.

Baird and Raymond James are acting as joint bookrunning managers for the proposed offering.
